The way forward may often present two paths, M&A or Raising Capital. The Viorum Process incorporates the following elements to position our clients for an optimal outcome during a parallel process.

Strategy & Planning

We work with clients to refocus their corporate strategy before evaluating the M&A and financing options that deliver optimal outcomes. Planning for a potential transaction includes setting transaction objectives, strategic buyer or investor criteria, and preparing marketing material and due diligence information.

Go-to-Market

This is a coordinated approach and engagement with a select group of strategic buyers or investors that include management presentations and initial due diligence leading to indications of interest.

Deal Structuring

Once a shortlist of qualified strategic buyers and investors has been identified, we lead the due diligence and negotiation process that culminates in a letter of intent or term sheet.

Closing

The final phase of our process includes completion of due diligence, negotiation and execution of definitive agreements, satisfaction of closing conditions, and exchange of funds. We collaborate with our client’s tax advisors and legal counsel to complete transaction closing.
