What We Do

At Viorum, we work closely with our clients and partners to execute critical elements of their value creating strategies.

Investment Banking

We work with clients to align their M&A strategy with their overall corporate strategy and evaluate potential transactions that address our client’s strategic objectives.
Viorum delivers a well-orchestrated process, insightful tactical advice, and quality execution across the buy and sell-side M&A lifecycle. Our capabilities cover transactions that include mergers, acquisitions, leveraged buyouts, and sale of businesses, divisions, or specific assets.
We are lead arrangers in raising capital for companies through structuring, advising and executing private placements, debt, mezzanine, and equity financing. Companies generally seek capital to fund organic growth, new ventures, acquisitions, and restructure their balance sheet.

Advisory Services

Our Financial Advisory Services business is geared to complement the activities of the deal teams at financial sponsors and the M&A/corporate development teams at emerging growth companies.
Viorum combines the art and science of due diligence to minimize the risk and maximize the value of your M&A or financing transaction. Our due diligence focuses on the key value drivers that support your investment thesis while identifying and mitigating risks and liabilities.
Every transaction (transformative, add-on or partnership) is a life-changing event for a corporation. Without dedicated resources to manage these strategic events, the organization’s ability to create value through M&A may diminish. Viorum takes ownership of specific elements of your core corporate development functions.

Our Process

The way forward may often present two paths, M&A or Raising Capital. The Viorum Process incorporates the following elements to position our clients for an optimal outcome during a parallel process.

Strategy & Planning

We work with clients to refocus their corporate strategy before evaluating the M&A and financing options that deliver optimal outcomes. Planning for a potential transaction includes setting transaction objectives, strategic buyer or investor criteria, and preparing marketing material and due diligence information.

This is a coordinated approach and engagement with a select group of strategic buyers or investors that include management presentations and initial due diligence leading to indications of interest.

Deal Structuring

Once a shortlist of qualified strategic buyers and investors has been identified, we lead the due diligence and negotiation process that culminates in a letter of intent or term sheet.

The final phase of our process includes completion of due diligence, negotiation and execution of definitive agreements, satisfaction of closing conditions, and exchange of funds. We collaborate with our client’s tax advisors and legal counsel to complete transaction closing.
